When Do You Need a Registered Agent?

You need a registered agent in each state where you are registered to do business with the secretary of state or similar state official. As a rule, this means any state in which you’ve registered a:

  • Corporation

None of these business entities can serve as their own agent to accept legal papers. They must appoint a third party to serve as agents.

Registered Agent Service FAQs

Most frequent questions and answers

At its core, a registered agent is an individual or company that accepts service of process—lawsuits—on behalf of the business. Every state and US jurisdiction outlines registered agent requirements for businesses in state statutes. These state laws typically require businesses such as LLCs, corporations, nonprofits and registered partnerships to appoint and maintain a registered agent.

Registered agents must:

  • Have a physical address in the state where they’ve been appointed.
  • Be available at that address during normal business hours.
  • Accept service of process on behalf of the business.

Ideally, however, your registered agent should do much more.

The answer is most likely yes.  Any company that is active with the governing state agencies will be required to have a company registered agent.

If you have a form that says it needs the signature of the registered agent, usually you can email it to us, and we will sign and email the form back to you with our correct legal agent name, address.

Currently, Wyoming is the only state that requires original inked signatures, and there is no option to get around this by filing online. Wyoming requires the registered agent signature on a page separate from the rest of the filing. We can mail out the signed registered agent acceptance part to you, and you will put it with your completed filing, and send into the state yourself.

Florida is the only state where we have to sign on the article part of the filing. A pre-signed form can be found in your online account dashpanel, or if you have already filled one out, you can email it to us and we will sign and email it back.

States that require our signature on your filing, but it does NOT have to be an original:

  • Arizona
  • Connecticut
  • Florida
  • Kentucky
  • Louisiana
  • Maryland
  • Mississippi
  • Nevada
  • New Mexico
  • Washington

You can email us your form filled out, and we will sign and email it right back to you.

Non-profit organizations and not for profit corporations are required to keep and maintain a registered agent.  Nonprofits have unique compliance needs.  We have custom tools and resources to help you maintain your non-profit organization with the various state agencies.

A professional registered agent service centers its business around being available to accept your documents, freeing you up to focus on more important things. They have other benefits as well. Registered agent services provide their address on your public documents, helping keep yours private. A good service should also scan and send you your documents the same day, provide you with reminders for state compliance reports, and provide you with easy access to forms and services to help you maintain your business.

Below are common situations in which it would be beneficial to hire a registered agent service:

  • You have locations in multiple states.
  • You don’t have a physical address.
  • You plan to change your address as you grow.
  • You don’t want the world to know your home address.
  • You don’t plan to be in the office Monday-Friday, 9-5.
  • You want instant access to documents from wherever you are.
  • You want electronic scans of your documents for safekeeping or backup.
  • You want reminders for state compliance requirements.
  • You want a little more peace of mind.
